Reservations made through the Site are processed by OpenTable. Your reservation is subject to OpenTable’s terms and privacy policy in addition to these Terms.
Private event and catering inquiries submitted through the Site are processed by Tripleseat. An inquiry is a request only and does not create a booking. Events are confirmed exclusively through a separate written event agreement that sets out the menu, minimums, deposits, service charges, cancellation terms, and other conditions. In the event of a conflict between these Terms and a signed event agreement, the event agreement controls for that event.

Because ingredients and shared equipment are used throughout the kitchen, we cannot guarantee that any item is free of any allergen. Nutritional, ingredient, and allergen information provided on the Site is offered in good faith and may change without notice. Guests with food allergies, sensitivities, or dietary restrictions should notify a manager before ordering so we can discuss available options. You assume responsibility for choices made based on information provided on the Site.
Consuming raw or undercooked meats, poultry, seafood, shellfish, or eggs may increase your risk of foodborne illness.
Alcoholic beverages are served only to guests who are at least twenty one years of age with valid government issued identification, in accordance with Texas Alcoholic Beverage Commission regulations. We reserve the right to refuse alcohol service at our discretion and to limit service to any guest.
Guest feedback submitted through the Site or through our guest feedback platform, provided by Real Time Feedback, is routed to our management team. Feedback is voluntary. By submitting feedback, you agree that it is accurate to the best of your knowledge and that we may use it internally to improve our service and operations. We may contact you about the feedback you submit using the contact information you provide.
"User Content" means any content you submit, post, or transmit to or through the Site or our social media channels, including reviews, comments, feedback, photographs, videos, suggestions, and inquiries.
Any unsolicited ideas, suggestions, or proposals you submit are considered non confidential and non proprietary, and we may use them without restriction or compensation.
The Site and all of its contents, including text, graphics, logos, photographs, illustrations, menus, recipes, video, audio, design elements, page layouts, and software, are owned by The Charlotte or its licensors and are protected by United States and international copyright, trademark, trade dress, and other intellectual property laws.

The Site links to and embeds third party websites and services, including OpenTable, Tripleseat, Real Time Feedback, Squarespace, payment processors, delivery providers, hiring platforms, mapping services, and social media platforms. We provide these links and integrations for convenience. We do not control third party services, do not endorse their content, and are not responsible for their availability, accuracy, terms, or privacy practices. Your use of a third party service is governed by that party’s own terms and policies.
The Site and all content, information, and services made available through it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, The Charlotte disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non infringement.
We do not warrant that the Site will be uninterrupted, timely, secure, or error free, that defects will be corrected, that the Site is free of viruses or other harmful components, or that information on the Site is accurate, complete, or current.
To the fullest extent permitted by law, The Charlotte and its owners, officers, members, managers, employees, contractors, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of or inability to use the Site, whether based in contract, tort, strict liability, statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Site will not exceed the greater of one hundred United States dollars or the amount you paid to us through the Site in the twelve months preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the exclusions and limitations above apply only to the extent permitted by law. Nothing in these Terms limits liability that cannot be limited under applicable law.
Before starting a formal proceeding, you agree to contact us at info@thecharlotterestaurant.com with a written description of your dispute and the relief you seek. We will attempt in good faith to resolve the matter within sixty days of receiving your notice.
If the dispute is not resolved informally, you and The Charlotte agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in Dallas County, Texas, or, at your election, by telephone, videoconference, or on the basis of written submissions. The arbitrator’s award may be entered in any court of competent jurisdiction. This agreement to arbitrate is governed by the Federal Arbitration Act.
You and The Charlotte agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative proceeding.
Either party may bring an individual action in small claims court, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or to prevent unauthorized access to the Site.
You may opt out of the Binding Arbitration and Class Action Waiver provisions by sending written notice within thirty days of first accepting these Terms to: The Charlotte, Attn: Arbitration Opt Out, 2822 N Henderson Avenue, Dallas, Texas 75206. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Subject to the Dispute Resolution and Arbitration section, you and The Charlotte consent to the exclusive jurisdiction and venue of the state and federal courts located in Dallas County, Texas.
You agree to indemnify, defend, and hold harmless The Charlotte and its owners, officers, members, managers, employees, contractors, agents, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your User Content, your violation of these Terms, or your violation of any law or the rights of a third party.
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including a violation of these Terms. The sections covering User Content, Intellectual Property, Disclaimers and Limitation of Liability, Dispute Resolution and Arbitration, Governing Law and Venue, Indemnification, and General Provisions survive termination.
Questions about these Terms may be directed to our team.
